1. Acceptance and company information
By accessing this website, using Maxy, requesting or purchasing a service, or accepting a proposal, you agree to these Terms & Conditions. If you use the site for an organisation, you confirm that you have authority to bind that organisation. If you do not agree, do not use the relevant service.
The website and services are operated by Digimaxx AI Solutions Private Limited, registered at No.58/2, 2nd Floor, VP Road, Sankalpa Nilaya, Madivala, Bengaluru, Karnataka, India, 560068.
2. Services and order documents
Digimaxx provides AI products, enterprise solutions, government technology, custom engineering, search intelligence, consulting, implementation, support, training and related services. Scope, deliverables, assumptions, fees, taxes, timelines, acceptance criteria and support are set out in the applicable quotation, proposal, statement of work, order form, invoice, product page or signed agreement (an “Order Document”).
If these terms conflict with a signed Order Document, the signed Order Document controls for that engagement.
3. Quotations, orders and changes
- A quotation is an invitation to engage and is valid for the period stated in it.
- An order is accepted when Digimaxx confirms it in writing, receives the required advance, or begins work at your authorised request.
- Work outside the agreed scope requires a written change request and may affect price and timeline.
- You must provide timely, accurate information, access, approvals and feedback needed for delivery.
4. Pricing, invoices and payments
Pricing is described on our Pricing & Payments page and the applicable Order Document. Exact charges, currency, taxes and payment milestones are shown before payment. Unless otherwise stated, invoices are due by the date shown, payments are processed in Indian rupees, and applicable GST or other taxes are additional or separately identified.
Online payments may be processed by an authorised payment gateway. Digimaxx does not intend to receive or store complete card, UPI PIN or online-banking credentials. You authorise the selected provider and your bank to process the transaction under their terms.
5. Delivery, acceptance and support
Delivery is digital unless an Order Document expressly states otherwise. Delivery methods and timing are described in our Shipping & Delivery Policy. You must review deliverables within the acceptance period in the Order Document and report material non-conformities with enough detail for us to investigate. Support and maintenance are included only where expressly stated.
6. Cancellation and refunds
Cancellation and refund eligibility depends on work completed, committed resources, third-party costs, access already granted and the applicable Order Document. Our standard position and request process are set out in the Cancellation & Refund Policy.
7. Your responsibilities and acceptable use
You agree not to:
- Use the website or services unlawfully, fraudulently or to harm another person.
- Attempt unauthorised access, probe security, disrupt infrastructure, overload an endpoint, or bypass usage restrictions.
- Upload malware or content that infringes privacy, confidentiality, intellectual property or other rights.
- Reverse engineer, scrape, copy or exploit protected site or product functionality except where law expressly permits.
- Use Maxy to process secrets, credentials, payment data, sensitive personal data, illegal content or high-risk decisions.
- Misrepresent AI output as verified professional advice or as a statement formally approved by Digimaxx.
8. Maxy AI
Maxy is an informational assistant. It may generate inaccurate, incomplete or outdated content. You are responsible for checking output before relying on it. Maxy does not provide legal, medical, financial, tax, employment or other regulated advice and does not create a binding quotation, warranty or commitment. Usage may be limited to seven questions per visitor before a human handoff is offered.
9. Intellectual property
Digimaxx and its licensors retain ownership of the website, brands, software, methods, templates, tools, models, know-how and pre-existing materials. You retain ownership of content and materials you provide and grant us the limited rights needed to perform the engagement. Ownership or licence rights in bespoke deliverables are determined by the applicable Order Document and generally take effect only after full payment.
Open-source software and third-party products remain subject to their own licences and terms.
10. Confidentiality and data
Each party must protect non-public information received from the other and use it only for the engagement, except where disclosure is authorised or legally required. More detailed confidentiality obligations in a signed agreement take precedence. Personal data is handled as described in our Privacy Policy.
11. Third-party services
Services may integrate hosting, cloud, AI, analytics, payment, data or software supplied by third parties. Availability, security, licences, fees and changes to those services may be governed by the provider’s terms. We are not responsible for a third-party service outside our reasonable control, but will provide agreed assistance where applicable.
12. Warranties and disclaimers
We will perform professional services with reasonable skill and care and will address valid warranty issues as stated in the Order Document. Except for express commitments and rights that cannot lawfully be excluded, the website, Maxy, previews and informational materials are provided “as is” and “as available”. We do not promise uninterrupted availability, a particular search ranking, advertising result, AI outcome, revenue level or business result unless expressly guaranteed in writing.
13. Liability
To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, punitive or consequential loss, or loss of profit, revenue, goodwill or data, arising from these terms. Digimaxx’s aggregate liability for a paid engagement will not exceed the fees paid to Digimaxx for the affected service during the six months preceding the event giving rise to the claim. These limits do not apply where liability cannot lawfully be limited or to fraud, wilful misconduct, breach of confidentiality, infringement or unpaid fees.
14. Suspension and termination
We may suspend access where reasonably necessary for security, non-payment, unlawful use, material breach or protection of other users. Either party may terminate an engagement as permitted by its Order Document. Accrued payment, confidentiality, intellectual property, liability, dispute and other provisions intended to survive will continue after termination.
15. Governing law and disputes
These terms are governed by the laws of India. The parties should first attempt good-faith resolution by written notice to info@digimaxx.co. Unless a signed agreement provides a different process, courts with competent jurisdiction in Bengaluru, Karnataka will have jurisdiction, subject to rights that cannot lawfully be restricted.
16. Changes and contact
